Vendor Direct Import & Domestic Vendor Agreement
This Agreement (the “Agreement”) is entered into as of [EFFECTIVE
DATE] (the “Effective Date”) by and between:
BEST BUY STORES, L.P., 7601 Penn Avenue South, Richfield, MN 55423
(“Best Buy”), and [VENDOR] (“Vendor”).
Each a “Party” and collectively the “Parties”.
RECITALS
WHEREAS, Best Buy operates retail stores and bestbuy.com; Vendor sells
consumer electronics.
NOW, THEREFORE, in consideration of the mutual covenants contained herein
and other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Parties agree as follows:
1. POs and Forecasting
Vendor uses Best Buy Partner Portal and JDA forecasting. EDI required.
2. Pricing/MAP
MFN clause. Vendor’s Minimum Advertised Price policy will be respected;
Best Buy reserves right to match competitor pricing.
3. Marketing
MDF and co-op allowances (typically 2–5%). Endcap and digital placements per
the Annual Plan.
4. Geek Squad Services
Vendor will provide warranty repair authorization, parts at cost, and L1/L2
escalation.
5. Delivery
FOB Destination to Best Buy DCs. OTIF >= 95%.
6. Payment
Net 60.
7. Warranty
Manufacturer’s warranty pass-through plus Best Buy DOA window (15 days)
charged to Vendor.
8. Indemnification/Insurance
IP, product liability, $5M CGL, additional insured.
9. Termination
60 days convenience; immediate cause.
10. General
Minnesota law; Hennepin County.
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the
Effective Date.
