Introduction and Responsibility

Ford describes its Code of Conduct as a guide to the conduct expected of people working at Ford. The Code

helps employees understand the Company's standards, what it believes in and how it conducts business the

right way.

Integrity beyond minimum compliance

Ford's public reporting describes ethical behavior as extending beyond compliance alone. Employees are

expected to act with transparency, integrity and honesty and to follow applicable laws, regulations and

Company policies.

How to use the Code

• Use the Code as a practical guide when a decision raises an ethical, legal or compliance question.

• Follow the Company policies and procedures that apply to your role and location.

• Seek guidance from the appropriate internal resource when the answer is unclear.

• Remember that local laws and applicable agreements can affect how requirements are implemented.

Responsibility

Employees, agency personnel and other people performing services for Ford may be subject to applicable

policies and requirements. Leaders have an additional responsibility to help their teams understand and

follow them.

Respect and Inclusion

Ford states that it seeks a respectful and inclusive workplace in which different ideas, perspectives and

beliefs are valued. Its human-rights policy commits to opposing harassment and discrimination and

supporting a healthy and safe working environment.

• Treat coworkers, contractors, customers and business partners with respect.

• Do not discriminate or harass people in violation of Company policy or applicable law.

• Support an environment where people can raise concerns without fear of retaliation.

• Respect applicable rights to freedom of association and collective bargaining.

Human Rights

Ford's human-rights policy addresses forced labor, human trafficking, ethical recruitment, child labor,

freedom of association, working hours, compensation, health and safety, privacy, harassment and

discrimination. The policy also applies human-rights expectations to business relationships and suppliers.

Health, Safety and Wellbeing

• Follow required safety procedures and training for the work you perform.

• Report unsafe conditions, incidents and near misses through the applicable process.

• Do not bypass engineered safeguards or established safety controls.

• Cooperate with safety reviews and investigations.

Conflicts of Interest

Employees should avoid situations in which personal interests interfere, or appear to interfere, with Ford's

interests. Potential conflicts can involve financial interests, outside employment, personal relationships,

gifts, entertainment or use of Company resources.

• Disclose actual or potential conflicts through the appropriate Company process.

• Do not use your position or Company information for personal gain.

• Do not allow outside activities to compromise your Ford responsibilities.

• Seek guidance when a relationship or financial interest could affect a business decision.

Gifts, Entertainment and Business Relationships

Business gifts and entertainment can create conflicts or the appearance of improper influence. Employees

must follow applicable Ford policies before offering or accepting anything of value in connection with

Company business.

• Do not offer or accept anything of value when it is intended to improperly influence a decision.

• Follow applicable approval and documentation requirements.

• Be especially cautious with government officials, healthcare professionals and other regulated

relationships.

• Disclose questionable offers and seek Legal or Compliance guidance.

Suppliers and business partners

Ford's public Supplier Code of Conduct requires suppliers to maintain responsible business practices, protect

and respect human rights, protect the environment, responsibly source materials, operate free from bribery

and corruption, maintain privacy and cybersecurity practices, and comply with trade and customs

requirements.

Our Marketplace

Fair Competition

• Compete fairly and comply with applicable antitrust and competition laws.

• Do not agree with competitors on prices, market allocation, production limits, bids or other unlawful

competitive restrictions.

• Do not obtain or use a competitor's confidential information improperly.

• Consult Legal when a proposed interaction with a competitor raises a competition concern.

Anti-Bribery and Anti-Corruption

Ford states that bribery and corruption are forbidden wherever it operates, including locations where such

conduct may be tolerated or condoned. Employees must comply with applicable anti-bribery laws and

Company policies.

• Never offer, promise, authorize or provide an improper payment or benefit.

• Use approved third parties and complete required due diligence.

• Maintain accurate books and records.

• Escalate suspected bribery or corruption promptly.

Government Business and International Trade

Government Business

Business involving government entities can be subject to specialized procurement, pricing, disclosure,

recordkeeping and ethics requirements. Employees must follow the policies relevant to their

government-facing work and obtain guidance when uncertain.

Government inquiries

• Do not obstruct or improperly influence an authorized government inquiry.

• Provide truthful information through the appropriate Company channel.

• Contact the Office of the General Counsel or Compliance when a government request raises legal

questions.

International Trade

• Follow applicable import, export, customs and trade-control requirements.

• Understand restrictions applicable to destinations, products, technologies and counterparties.

• Escalate unusual or restricted transactions before proceeding.

• Maintain required trade documentation accurately.

Products, Safety and Quality

Ford's public sustainability reporting identifies product safety and quality as a material responsibility and

states that Ford is committed to designing and building safe, quality vehicles that meet or exceed applicable

laws and regulations.

Employee responsibility

• Take product safety and quality concerns seriously.

• Follow engineering, manufacturing, testing and quality procedures applicable to your role.

• Report suspected safety, quality or regulatory issues through the established internal process.

• Do not conceal or alter information relevant to a product safety or quality concern.

Information, Privacy and Cybersecurity

Personal Data and Privacy

Ford's Code and human-rights policy identify protection of consumer and employee data privacy as an

important responsibility. Employees should access and use personal data only as authorized and for

legitimate business purposes.

• Collect and use personal information only for legitimate and authorized purposes.

• Protect personal information from unauthorized access, disclosure or loss.

• Follow data-retention, privacy and security procedures applicable to your role.

• Report suspected privacy or cybersecurity incidents promptly.

Confidential Information

Confidential business information includes proprietary technology, business plans, designs, financial

information, supplier information and other nonpublic material. Employees must protect it and disclose it

only as authorized.

Cybersecurity

Employees are expected to follow security controls and use Company technology responsibly. Unauthorized

access, disclosure or circumvention of security controls can create significant business and customer risks.

Intellectual Property

Ford's intellectual property can include inventions, patents, copyrights, trademarks, trade secrets, software,

designs, engineering information and other proprietary materials.

• Protect Ford intellectual property from unauthorized use or disclosure.

• Respect third-party intellectual property and obtain appropriate permissions.

• Follow applicable rules for inventions and works created as part of your employment.

• Do not disclose confidential engineering, manufacturing, software or business information outside

authorized channels.

• Consult Legal when ownership or permitted use is unclear.

External information

Information obtained from customers, suppliers, competitors and other outside parties must be handled

lawfully and ethically. Do not use improper methods to obtain confidential or protected information.

Accurate Records and Financial Integrity

Accurate records are fundamental to Ford's business and reporting obligations. Employees must create,

maintain and communicate records honestly and completely.

• Record transactions and business activities accurately.

• Do not create false, misleading or incomplete records.

• Follow applicable accounting and financial-control requirements.

• Preserve records according to Company retention requirements and legal holds.

• Promptly report suspected accounting or reporting irregularities.

Insider Trading

Employees who possess material nonpublic information must comply with applicable securities laws and

Ford's insider-trading requirements. Do not trade on or improperly disclose material nonpublic information.

Records Management

Business records must be retained, protected and disposed of according to applicable Company

requirements. Records subject to an investigation or legal hold must be preserved.

Protecting Human Rights

Ford's human-rights and environment policy commits the Company to respecting human rights and

addressing risks through due diligence, grievance mechanisms and responsible business practices.

Protecting the Environment

• Minimize negative environmental impacts from operations and products.

• Follow environmental laws, permits and Company requirements.

• Support energy efficiency, emissions reduction and responsible resource use.

• Report environmental concerns through the applicable process.

Responsible Sourcing

Ford's Supplier Code of Conduct applies responsible business expectations to its supply chain, including

human rights, environmental protection, responsible materials, anti-corruption, privacy and cybersecurity,

and trade compliance.

Speaking Up

Ford encourages employees and other stakeholders to speak up when something does not seem right or

might violate a policy, the Code of Conduct or the law. Ford states that concerns are taken seriously and

addressed through its reporting and investigation process.

What Happens After a Report

Ford's published grievance-mechanism process describes a seven-step path from initial report to

appropriate action.

You make a credible report.

Your report is logged in the system.

Your report is routed to the appropriate internal resource.

An investigation plan is developed when warranted.

The investigation proceeds.

The allegations are verified or found to be without merit.

The appropriate action is taken.

Non-Retaliation

Ford states that it supports and protects people who raise good-faith concerns about potential violations of

the Code, Company policies or the law. Ford strictly prohibits retaliation against people who report in good

faith or assist with an investigation.

• Participating honestly in an investigation.

• Providing information requested by investigators.

• Using the SpeakUp reporting mechanism.

Investigation expectations

For confidentiality reasons, Ford states that it may or may not be able to disclose the outcome of an

investigation or actions taken.

Compliance Training and Leadership

Training

Ford's public reporting states that mandatory online training includes an annual Code of Conduct course for

salaried full-time, part-time and agency workers, with courses periodically refreshed to keep content

relevant.

Leader responsibilities

• Model integrity and transparency.

• Ensure people understand policies relevant to their work.

• Encourage employees to speak up.

• Escalate concerns appropriately.

• Protect reporters and investigation participants from retaliation.

Compliance program

Ford's Compliance, Ethics and Integrity Office provides training and communications tools and supports the

Company's compliance program. A cross-functional committee reviews allegations and oversees

investigations and corrective or disciplinary actions.

External Standards and Supplier Responsibilities

Ford Supplier Code of Conduct

Ford introduced its Supplier Code of Conduct in 2021 and states that it applies to Tier 1 suppliers and

cascades through their supply chains. Ford's public materials describe expectations covering human rights,

environmental protection, responsible sourcing, anti-bribery and corruption, privacy and cybersecurity, and

trade and customs compliance.

Relationship to the Employee Code

The Supplier Code is a separate external standard. It extends Ford's responsible-business expectations to

suppliers rather than serving as a substitute for the employee Code of Conduct.

Human-rights grievances

Ford provides external grievance mechanisms for human-rights and environmental issues involving

suppliers. Supplier employees may also use Responsible Business Alliance grievance channels described by

Ford.
